Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Numergold Bank ("we," "us" or "our"), concerning your access to and use of the Numergold Bank website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.

Account Terms

Account Eligibility

To be eligible for a Numergold Bank account, you must be at least 18 years old, a legal resident of the United States, and have a valid Social Security number or Tax Identification Number. We may use information from third parties to help us determine if you are eligible for an account.

Account Information

You agree to provide accurate and complete information when you register for an account and to keep this information up to date. We may rely on this information to verify your identity and to provide our services to you.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Electronic Communications

By using our services, you consent to receive electronically all communications, agreements, documents, notices, and disclosures (collectively, "Communications") that we provide in connection with your account and our services. We will provide these Communications to you by posting them on our website, sending them to you via email, or through other electronic means.

Funds Availability

Our funds availability policy governs when funds deposited to your account will be available for withdrawal. Generally, we make funds from your deposits available to you on the first business day after the day we receive your deposit. However, in some cases, we may delay the availability of funds.

Electronic Fund Transfers

Electronic fund transfers (EFTs) are transactions that use computers, phones, or magnetic strips to authorize a financial institution to credit or debit a customer's account. Our Electronic Fund Transfer Agreement governs EFTs made to or from your account.

Fees and Charges

You agree to pay all fees and charges associated with your account as set forth in our Fee Schedule. We may change our fees and charges at any time and will provide notice as required by applicable law.

Overdrafts

An overdraft occurs when you do not have enough money in your account to cover a transaction, but we pay it anyway. We may, at our discretion, pay overdrafts and charge you a fee as set forth in our Fee Schedule.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by arbitration in New York, NY before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

Limitation of Liability

In no event shall Numergold Bank, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
